May 2013: X5 Retail Group completed an acquisition of 100% of shareholding in Russian Limited Liability Company CMR Company 1 engaged in the development project for allocation of retail store in Moscow.

Burchills was advising X5 Retail Group in the whole course of the acquisition.

Partner Kirill Tanchev was the principal counsel to the purchaser.

1 February 2012: Burchills advised the sellers in their US$22.5 million sale of 75%-1 of indirect shareholding in GNC-Alfa, a major Armenian operator of optic-fibre networks, to Teleset Networks, a subsidiary of OAO Rostelecom.

1 September 2011: OJSC “Rostelecom” successfully completed a US$ 80.5 million acquisition of a 50% stake in ZAO Volgograd-GSM ("Volgograd-GSM"). As a result of the acquisition OJSC "Rostelecom" increased its holding in Volgograd-GSM from 50% to 100%.

Volgograd-GSM is a regional GSM operator providing mobile services in Volgograd and the Volgograd region with a market share of around 20%.

Burchills advised OJSC "Rostelecom" on the acquisition, undertaking corporate legal due diligence on the target company and drafting and assisting in the negotiation of the transaction documents.

On December 27, 2010: OJSC "North-West Telecom" announced the successful completion of a US$ 27.8 million acquisition of a 100% stake in ZAO "Severen-Telecom" ("Severen-Telecom"). Severen-Telecom is one of the largest providers of broadband internet and telephony services to corporate clients in St. Petersburg and the Leningrad region.

Burchills advised OJSC "North-West Telecom" in the course of the acquisition of Severen-Telecom.

30 November 2010: Danone and Unimilk completed the merger of their fresh dairy product businesses in Russia and other CIS countries. Burchills acted as Russian legal counsel to Unimilk shareholders in this transaction.

The new combined entity will be the market leader in dairy products in Russia and the CIS, with a 21% share of the Russian market and a particularly strong position in premium and fast growing segments. Aggregate sales of the combined entity will amount to around EUR1.5 billion, with over 14,000 employees.*

29 September 2010: X5 Retail Group N.V. ("X5"), Russia's largest retailer by sales volume, today announced the successful completion of its USD 38 million acquisition of ZAO "Ostrov-Invest" ("Ostrov"), which operates stores in Moscow and the Moscow Region under the "Ostrov" brand.

Burchills advised X5 from inception to completion of its successful acquisition of Ostrov, undertaking legal due diligence on the target company, advising on the structure of the deal and drafting and assisting in the negotiation of the transaction documents.

Partner Kirill Tanchev, who led the Burchills team, said: " One of the main challenges we faced in negotiating the transaction documents was finding a reasonable solution for protecting the client's position in relation to the target's property interests, the terms of a substantial part of which were subject to continuous changes".
